These Terms of Service (“Terms”) are a legally binding agreement between you (“you”) and Quixsale
(“Quixsale,” “we,” “us”) that cover your access to and use of https://quixsale.net and anything we offer
through it (the “Platform”).
By accessing or using the Platform, you agree to these Terms. If you don’t agree, please don’t use the
Platform.
For purposes of this Agreement, the following definitions apply:
• “Content” means all text, images, graphics, photographs, videos, audio, data, information, and
other materials displayed, uploaded, or transmitted on or through the Platform.
• “Listing” means any real estate property information, including but not limited to Commercial
properties, Land, Condominiums, Multi-Family properties, and Single Family Homes, posted on the
Platform.
• “Services” means all features and functionalities offered through the Platform, including the MLS
System for Investment Properties, Investor Business Directory, Collaboration Community, and Education Hub.
• “User Content” means any Content that Users submit, post, upload, or otherwise make available
through the Platform.
• “Service Professionals” means accountants, lenders, insurance agents, attorneys, wholesalers, title companies, realtors, brokers, inspectors, contractors, property managers, and other professionals listed in the Investor Business Directory.
If you create an account, you agree to provide accurate info and keep it up to date.
You’re responsible for:
• keeping your login credentials secure, and
• anything that happens under your account (whether or not you meant for it to happen).
If you think your account has been compromised, let us know ASAP at info@quixsale.net.
Quixsale provides an all-in-one platform exclusively designed for real estate investors. Our Services
include:
A comprehensive system enabling Users to find and list diverse investment property opportunities,
including Commercial properties, Land, Condominiums, Multi-Family properties, Single Family
Homes, and other real estate investment opportunities.
A networking hub where Service Professionals can showcase their businesses to reach motivated real
estate investors. Categories include, but are not limited to: Lenders, Insurance Agents, Attorneys,
Contractors, Property Managers, Title Companies, Realtors, Brokers, and Inspectors.
A dedicated space for Users to connect with like-minded individuals, forge partnerships, explore business opportunities, and discover local networking events.
Educational resources including articles, webinars, podcasts, and courses covering investment strategies, market trends, and real estate investment best practices.
Quixsale reserves the right to modify, suspend, or discontinue any aspect of the Services at any time,
with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Services.
Quixsale is an information platform. Listings, directory profiles, community posts, educational content,
and anything else on the Platform are for general informational purposes only.
Nothing on Quixsale is legal, tax, financial, investment, accounting, brokerage, or other professional
advice, and your use of the Platform doesn’t create any professional or fiduciary relationship with
Quixsale.
Real estate is risky. You are solely responsible for your own research, inspections, estimates, underwriting, and decisions, including verifying any Listing information and any claims made by third parties.
If you post content (including Listings or directory profiles), you agree that it will be real-estate related and that it will not be unethical, deceptive, illegal, misleading, defamatory, or spammy. We can remove content (or limit visibility) if it violates these Terms or hurts the Platform experience.
Do not contact homeowners/property owners/sellers (or their family members, tenants, neighbors, employers, or any representative) directly using any information you got from Quixsale.
That means no phone calls, texts, emails, direct mail, door knocks, social DMs, or using a third party
to contact them for you—unless you go through the proper channel set by Quixsale and/or the party
that posted the Listing (for example, the wholesaler or agent).
Why we’re strict about this: Quixsale and/or our partners may have business relationships, contractual
rights, or financial interests tied to certain Listings or leads. Direct outreach can interfere with those
relationships and transactions.
IMPORTANT NOTICE: Any User found to have violated Section 5.4 shall be subject to: (i) immediate
and permanent removal from the Platform, and (ii) a civil penalty of FIFTY THOUSAND DOLLARS
($50,000.00) per violation for interference with contract and/or business relations. Each instance of
unauthorized contact is a separate violation.
This penalty is in addition to any other remedies available to Quixsale (and/or the applicable listing
party) under law or equity, including injunctive relief, actual damages, and attorneys’ fees. You agree
that actual damages from these violations can be hard to measure and that this penalty is a reasonable estimate of the harm caused.
If you become aware of a violation, please report it to info@quixsale.net.
Some parts of Quixsale may be paid (subscriptions, upgrades, add-ons, or other fees). If you choose a
paid feature, you agree to the pricing and billing terms shown at checkout or inside the Platform at
the time you sign up. Questions about billing, payments, charges, or cancellations? Email

• If your plan auto-renews, you authorize us (and our payment processor) to charge your payment
method automatically at the start of each billing period until you cancel.
• Prices may change. If they do, we’ll apply changes going forward (not retroactively) and, when required, we’ll provide notice.
All fees are non-refundable, except where required by law or explicitly stated by Quixsale in writing.
You can cancel future renewals through your account settings (if available) or by contacting
sales@quixsale.net. Cancellation stops the next renewal; it doesn’t retroactively refund prior charges.
Access may continue through the end of your current paid period unless we state otherwise.
You’re responsible for applicable taxes, except taxes based on Quixsale’s net income.
7.1 Our Platform
Quixsale owns the Platform, including its look and feel, software, features, and our datasets (including
compiled Platform data), except for content that users submit.
You get a limited, revocable, non-exclusive, non-transferable license to use the Platform as intended,
as long as you follow these Terms.
You keep ownership of the content you submit (like Listings, photos, messages, comments, and profile info), but you give Quixsale a worldwide, non-exclusive, royalty-free license to host, use, copy, display, reproduce, distribute, and create derivatives from that content to operate, improve, market, and
provide the Platform.
You represent you have the rights to post what you post
The Platform and its entire contents, features, and functionality, including but not limited to all information, software, code, text, displays, graphics, photographs, video, audio, design, presentation, selection, and arrangement, are owned by Quixsale, its licensors, or other providers of such material and
are protected by United States and international copyright, trademark, patent, trade secret, and other
intellectual property or proprietary rights laws.
“Quixsale,” the Quixsale logo, and all related names, logos, product and service names, designs, and
slogans are trademarks of Quixsale or its affiliates. You may not use such marks without the prior
written permission of Quixsale. All other names, logos, product and service names, designs, and slogans on the Platform are the trademarks of their respective owners.
Subject to your compliance with these Terms, Quixsale grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform for your personal, noncommercial use or legitimate business purposes related to real estate investment activities.
You may not:
(a) Reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any Content from the Platform, except as expressly permitted;
(b) Use any illustrations, photographs, video or audio sequences, or any graphics separately from the
accompanying text;
(c) Delete or alter any copyright, trademark, or other proprietary rights notices;
(d) Access or use for any commercial purposes any part of the Platform or any services or materials
available through the Platform without our express written consent.
9.1 User Content Ownership
You retain ownership of any User Content you submit, post, or display on or through the Platform.
However, by submitting User Content, you grant Quixsale a worldwide, non-exclusive, royalty-free,
sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, dis-
play, and perform the User Content in connection with the Platform and Quixsale’s business operations.
You represent and warrant that:
(a) You own or have the necessary licenses, rights, consents, and permissions to use and authorize
Quixsale to use all intellectual property rights in and to any User Content;
(b) Your User Content does not violate the privacy rights, publicity rights, copyrights, trademark
rights, contract rights, or any other rights of any person or entity;
(c) Your User Content is accurate and not misleading;
(d) Your User Content does not violate any applicable law or regulation.
Quixsale reserves the right, but has no obligation, to monitor, edit, or remove any User Content at our
sole discretion, for any reason or no reason, without notice.
To the fullest extent allowed by law:
• Quixsale isn’t responsible for your investment decisions or financial losses.
• We don’t guarantee the accuracy, completeness, legality, or quality of Listings, user posts, directory profiles, or any third-party services.
• Third parties may misrepresent properties, numbers, identity, ownership, or intent. That risk is on
you.
If you use Quixsale, you agree you’re doing so at your own risk and that Quixsale isn’t liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill.
If a court says we’re still liable for something, our total liability will not exceed the greater of: (a) what
you paid us in the last twelve (12) months, or (b) $100.
The Platform may contain links to third-party websites, services, or resources that are not owned or
controlled by Quixsale. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.
Businesses and individuals listed in the Investor Business Directory are independent third parties, not
employees, agents, or affiliates of Quixsale. Quixsale does not endorse, warrant, or guarantee any Service Professional, their services, qualifications, or the quality of their work.
You acknowledge and agree that Quixsale shall not be responsible or liable, directly or indirectly, for
any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on
any third-party content, goods, or services.
You are solely responsible for verifying the credentials, licenses, insurance, and qualifications of any
Service Professional before engaging their services.
13.1 “As Is” and “As Available”
THE PLATFORM AND ALL CONTENT, SERVICES, LISTINGS, AND MATERIALS ARE PROVIDED ON AN
“AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR
IMPLIED.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, QUIXSALE DISCLAIMS ALL WARRANTIES,
EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
(a) IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT;
(b) WARRANTIES THAT THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
(c) WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT
OR LISTINGS;
(d) WARRANTIES THAT DEFECTS WILL BE CORRECTED;
(e) WARRANTIES THAT THE PLATFORM OR SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL
COMPONENTS.
REAL ESTATE INVESTMENTS INVOLVE SUBSTANTIAL RISK, INCLUDING THE POTENTIAL LOSS OF
PRINCIPAL. PAST PERFORMANCE IS NOT INDICATIVE OF FUTURE RESULTS. QUIXSALE MAKES NO
REPRESENTATIONS OR WARRANTIES REGARDING THE POTENTIAL SUCCESS OR PROFITABILITY OF
ANY INVESTMENT OPPORTUNITY.
14.1 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL QUIXSALE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY:
(a) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
(b) LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES;
(c) DAMAGES RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE)
THE PLATFORM;
(d) DAMAGES RESULTING FROM ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM;
(e) DAMAGES RESULTING FROM UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR CONTENT
OR TRANSMISSIONS;
WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY
OTHER LEGAL THEORY, WHETHER OR NOT QUIXSALE HAS BEEN INFORMED OF THE POSSIBILITY OF
SUCH DAMAGE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL LIABILITY OF QUIXSALE
FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM
SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU HAVE PAID TO QUIXSALE IN THE
TWELVE (12) MONTHS PRIOR TO THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00).
THE LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS
OF THE BARGAIN BETWEEN QUIXSALE AND YOU. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE
ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
You agree to defend, indemnify, and hold harmless Quixsale, its officers, directors, employees, agents,
affiliates, licensors, and service providers from and against any and all claims, damages, obligations,
losses, liabilities, costs, or debt, and expenses (including but not limited to attorney’s fees) arising
from or related to:
(a) Your use of and access to the Platform;
(b) Your violation of any term of these Terms;
(c) Your violation of any third-party right, including without limitation any intellectual property, privacy, or proprietary right;
(d) Your User Content;
(e) Any claim that your User Content caused damage to a third party;
(f) Your violation of any applicable law, rule, or regulation;
(g) Any real estate transaction in which you participate through or in connection with the Platform.
This indemnification obligation will survive the termination of these Terms and your use of the Platform.
These Terms (and any dispute related to them or the Platform) are governed by Florida law, without
regard to conflict-of-law rules.
Please read this carefully—arbitration affects your rights.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform will be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under
its Commercial Arbitration Rules.
• The arbitration will be conducted by a single arbitrator.
• The arbitration location will be in Florida (Indian River County), unless the parties agree otherwise.
• The arbitrator’s decision will be final and binding, and judgment can be entered in any court with
jurisdiction.
You and Quixsale agree to bring claims only on an individual basis. No class actions, class arbitrations,
private attorney general actions, or other representative proceedings.
Either party can go to court to seek injunctive or equitable relief to protect intellectual property rights
(like copyrights, trademarks, trade secrets, or patents).
17.1 Governing Law
These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in
accordance with the laws of the State of Florida, without regard to its conflict of law provisions.
17.2 Jurisdiction
Subject to the arbitration provisions above, any legal action or proceeding arising out of or related to
these Terms or the Platform shall be instituted exclusively in the federal courts of the United States or
the courts of the State of Florida, in each case located in Miami-Dade County, Florida. You irrevocably
submit to the exclusive jurisdiction of such courts.
17.3 Waiver of Jury Trial
TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND QUIXSALE EACH WAIVE ANY RIGHT TO
A JURY TRIAL IN ANY PROCEEDING ARISING OUT OF OR RELATED TO THESE TERMS
You may terminate your account at any time by contacting us at info@quixsale.net or through your
account settings. Termination of your account does not relieve you of any obligations to pay accrued
fees or any other obligations incurred prior to termination.
Quixsale may terminate or suspend your account and access to the Platform immediately, without
prior notice or liability, for any reason, including without limitation if you breach these Terms.
Upon termination:
(a) Your right to use the Platform will immediately cease;
(b) You must cease all use of the Platform;
(c) Any fees paid are non-refundable, except as otherwise provided in these Terms;
(d) Sections that by their nature should survive termination shall survive, including without limitation
Sections 7, 8, 9, 13, 14, 15, 16, 17, and 20.
We may update these Terms from time to time. When we do, we’ll post the updated version here and
update the “Last Updated” date at the top.
By continuing to use Quixsale after an update, you’re agreeing to the updated Terms. Please check
back occasionally.
20.1 Entire Agreement
These Terms, together with the Privacy Policy and any other legal notices or policies published by
Quixsale on the Platform, constitute the entire agreement between you and Quixsale concerning your
use of the Platform and supersede all prior or contemporaneous communications and proposals between you and Quixsale.
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid, illegal, or unenforceable provision shall be
modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving
its original intent.
The failure of Quixsale to enforce any right or provision of these Terms shall not constitute a waiver of
such right or provision. Any waiver of any provision of these Terms will be effective only if in writing
and signed by Quixsale.
You may not assign or transfer these Terms or your rights or obligations hereunder without the prior
written consent of Quixsale. Quixsale may assign these Terms without restriction. These Terms shall
be binding upon and inure to the benefit of the parties and their respective successors and permitted
assigns.
Quixsale shall not be liable for any failure or delay in performance resulting from causes beyond its
reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of
civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel,
energy, labor, or materials.
The section headings in these Terms are for convenience only and have no legal or contractual effect.
All notices to Quixsale under these Terms shall be in writing and sent to info@quixsale.net. Notices to
you may be sent to the email address associated with your account.
These Terms do not create any third-party beneficiary rights in any individual or entity that is not a
party to these Terms.
If you are a California resident, in accordance with California Civil Code Section 1789.3, you may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by contacting them in writing at 1625 North Market Blvd., Suite
